1. Agreement to Terms

By accessing or using the website and software services at https://uoodly.com (operated by Uoodly), you agree to be bound by these Terms & Conditions. If you disagree with any part of the terms, you may not access or use the platform.

2. Account Registration & User Responsibility

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and account credentials, and for any activities or actions under your account.

3. Acceptable Use & Prohibited Conduct

You agree not to use Uoodly to create, distribute, or publish digital cards, promotional posters, or video reels that:

• Infringe upon intellectual property rights, copyrights, or registered trademarks of third parties.
• Engage in fraudulent schemes, impersonation of legitimate businesses or government bodies, phishing, or financial scams.
• Contain unlawful, abusive, defamatory, obscene, harassing, or sexually explicit content.
• Attempt to bypass credit limits, disrupt server operations, or reverse engineer platform code.

We reserve the right to immediately suspend or terminate accounts and remove cards found violating these rules without refund.

4. Subscriptions, Payments & Credits

Certain features of Uoodly (e.g. Pro Business plan, Enterprise Agency plan, and AI image generation credit packs) require paid subscriptions or top-ups. All prices are listed in Indian Rupees (INR ₹) inclusive of applicable taxes unless specified otherwise.

Subscriptions renew automatically according to the selected billing cycle unless cancelled prior to renewal.

5. Intellectual Property & Ownership

All logos, trade names, business descriptions, product photos, and content uploaded by you to your digital cards remain your intellectual property. Uoodly retains all rights, title, and interest in the Uoodly software, web templates, platform designs, code, and brand trademarks.

6. Limitation of Liability & Governing Law

To the maximum extent permitted by applicable Indian law, Uoodly shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

These terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.
